Terms governing access to and use of Proactive Buddy.

About the Service

Proactive Buddy is an AI-supported reflection service operated by Proactive Health & Retreat ApS as part of Proactive Being.

The service is delivered primarily through Telegram and other supported interfaces and is designed to support structured reflection, clearer thinking, perspective, and proactive follow-through through AI-supported dialogue.

Proactive Buddy is not a replacement for legal, financial, tax, medical, psychiatric, psychological, or other regulated professional advice.

Acceptance of These Terms

By purchasing, activating, accessing, or using Proactive Buddy, you agree to these Terms & Conditions.

If you do not agree, do not use the service.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Proactive Buddy.

If you use the service on behalf of a business or organization, you represent and warrant that you are authorized to bind that business or organization to these Terms.

Access, Accounts, and Subscriptions

Access to Proactive Buddy requires an active subscription purchased through proactivebuddy.com or another approved purchase flow.

Subscriptions are:

  • personal
  • non-transferable
  • intended for a single end user unless otherwise agreed in writing

You are responsible for:

  • maintaining accurate account information
  • maintaining the confidentiality of any account credentials or linked access
  • all activity occurring through your access, to the extent permitted by law

Access is granted after successful payment and activation.

Pricing and Billing

Current pricing is listed on our website or communicated through an approved purchase flow.

Payments are processed by Stripe or another payment provider we designate.

Subscriptions renew automatically unless cancelled before the next renewal date.

You authorize us and our payment provider to charge the applicable subscription fees and any relevant taxes using your selected payment method.

We may change pricing for future billing periods. Where required by law or where commercially appropriate, we will provide advance notice before such changes take effect for renewing subscriptions.

Message Limits, Usage Limits, and Service Scope

Subscription plans may include:

  • message limits
  • usage limits
  • feature restrictions
  • service-specific access conditions

These limits apply as described on the pricing page, in the plan description, or within the service.

Current access models may, for example, include 500 messages per month.

We may offer:

  • additional paid message packages
  • usage-based add-ons
  • upgraded plans
  • revised service configurations

We may modify features, limits, or service components from time to time, provided such changes do not unlawfully override rights already granted to you under applicable law.

Message Counting

Message limits are based on exchanged messages in the conversation.

In general:

  • one user message counts as one message
  • one AI reply counts as one message

A normal exchange may therefore count as two messages.

Telegram Access

Proactive Buddy currently runs through Telegram.

You are responsible for maintaining access to Telegram or another supported access layer where applicable.

If Telegram is required for access, we will make that clear in the activation and onboarding flow.

Cancellation

You may cancel your subscription at any time through any cancellation method we make available, including by contacting hello@proactivebuddy.com where relevant.

Unless otherwise required by law, cancellation takes effect at the end of the current billing period.

Unless required by applicable law, no partial refunds are provided for unused time in an active billing period.

Right of Withdrawal for EU Consumers

If you are an EU consumer, you generally have a 14-day right of withdrawal for distance purchases.

However, for digital content or digital services, that right may be lost once performance begins if, before performance starts, you:

  • expressly request immediate supply or immediate performance, and
  • acknowledge that you thereby lose your right of withdrawal once performance begins or, where applicable under law, once the digital content or service has been supplied to the relevant extent

By activating and using Proactive Buddy during the withdrawal period, you expressly:

  • request immediate access to and performance of the service, and
  • acknowledge that your withdrawal right is lost to the extent permitted by applicable law once performance has begun under those rules

Nothing in this section limits any mandatory rights you may have under applicable consumer law.

Acceptable Use

You agree not to:

  • use the service for unlawful purposes
  • misuse, disrupt, interfere with, or attempt to gain unauthorized access to the service
  • share access with unauthorized users
  • resell, sublicense, or commercially exploit access unless expressly authorized in writing
  • use the service to generate unlawful, harmful, abusive, infringing, fraudulent, or deceptive content
  • upload or share data you do not have the legal right to share
  • violate the privacy, confidentiality, or rights of others
  • reverse engineer, scrape, automate against, or exploit the service beyond its intended use
  • use the service in a way that imposes unreasonable load or circumvents limits or controls

We may suspend or terminate access where we reasonably believe there is misuse, abuse, fraud, security risk, or breach of these Terms.

Responsible Use

Proactive Buddy is designed for structured reflection and thinking support.

You should avoid sharing:

  • trade secrets
  • highly confidential business information
  • highly sensitive legal material
  • medical emergencies
  • crisis situations
  • information you are not comfortable processing through the service environment

Use of the service remains at your own discretion and responsibility.

Data and Privacy

Use of Proactive Buddy involves the processing of personal data.

Our data practices are described in our Privacy Policy.

By using the service, you acknowledge that personal data may be processed as described there.

No Professional Advice

Proactive Buddy is a reflection and decision-support tool only.

It does not constitute:

  • legal advice
  • financial advice
  • tax advice
  • medical advice
  • mental health treatment
  • psychotherapy
  • crisis support
  • any other regulated professional advice

You remain solely responsible for:

  • your decisions
  • your actions
  • your reliance on any outputs or reflections generated through the service

Service Availability, Updates, and Changes

We may update, improve, modify, suspend, or discontinue parts of the service from time to time.

We do not guarantee uninterrupted or error-free availability.

We may also make changes to:

  • features
  • interfaces
  • message limits
  • plan structures
  • delivery mechanisms
  • technical components

We may suspend or restrict the service where necessary for:

  • maintenance
  • security
  • legal or regulatory compliance
  • abuse prevention
  • infrastructure or provider changes

We will seek to avoid unreasonable disruption, but the service is provided on an evolving technology basis.

Third-Party Infrastructure

The service depends on third-party infrastructure, including Telegram, payment processors, and BuddyPro infrastructure.

Availability and functionality may therefore be affected by systems outside our direct control.

Intellectual Property

All rights, title, and interest in and to Proactive Buddy, including the service, branding, software, website content, conversation structure, and related materials, remain the property of Proactive Health & Retreat ApS or its licensors.

You receive a limited, non-exclusive, non-transferable, revocable right to use the service during your paid subscription period in accordance with these Terms.

Disclaimers

To the maximum extent permitted by law, Proactive Buddy is provided on an “as is” and “as available” basis.

We do not guarantee that:

  • the service will be uninterrupted, error-free, or always available
  • the service will be suitable for every use case or personal circumstance
  • any output, reflection, or generated response will be complete, accurate, or appropriate for your situation
  • use of the service will lead to any particular result or outcome

Limitation of Liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages
  • we are not liable for loss of profits, revenue, goodwill, data, business opportunity, or other intangible losses
  • we are not liable for decisions, actions, inactions, or outcomes arising from your use of the service or reliance on outputs, reflections, or generated content

To the extent liability cannot lawfully be excluded but may be limited, our aggregate liability arising out of or relating to the service and these Terms is limited to the total amount you paid to us for the service during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Incident Handling

Where service disruption is caused by underlying infrastructure outside our direct control, any remedy we may offer is generally limited to reasonable service extension or equivalent practical remedy, unless otherwise required by law or expressly agreed in writing.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Proactive Health & Retreat ApS, its affiliates, and their respective officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses arising out of or related to:

  • your misuse of the service
  • your breach of these Terms
  • your violation of applicable law
  • your infringement of rights of another person or entity

Termination

We may suspend or terminate your access if:

  • you materially breach these Terms
  • we reasonably suspect misuse, abuse, fraud, or unlawful activity
  • continued access creates security, legal, or operational risk

Where appropriate, we may instead suspend access, request corrective action, or limit features.

Termination does not affect rights or obligations that by nature should survive termination.

Governing Law and Venue

These Terms are governed by the laws of Denmark, unless mandatory consumer protection rules in your country of residence require otherwise.

Any disputes shall be subject to the competent courts of Denmark, unless applicable law gives you the right to bring a claim in another mandatory forum.

Changes to These Terms

We may update these Terms from time to time.

The updated version will apply from the date stated at the top of the Terms, except where applicable law requires notice, consent, or a later effective date.

Continued use of the service after an applicable update takes effect constitutes acceptance of the updated Terms, except to the extent prohibited by law.
